This End User Licence Agreement (the “Agreement”) is a binding contract between you and Oryan LLC (“Prozollo,” “we,” or “us”) covering any software, plugin, theme, template, application or other digital work we make available through www.prozollo.com (the “Software”).
By downloading, installing, copying or using the Software, you accept this Agreement. If you do not accept it, do not download, install or use the Software.
Licence granted
Subject to your compliance with this Agreement, and to payment of any applicable fee, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the Software for your own personal or internal business purposes.
Unless your order or a separate written agreement says otherwise, the licence covers use on the number of sites or devices stated at the point of purchase, and one archival copy for backup.
What this licence does not include
You may not:
- Sell, rent, lease, lend, sub-licence, distribute or otherwise transfer the Software to anyone else.
- Reverse engineer, decompile or disassemble the Software, except to the extent that applicable law expressly permits it despite this restriction.
- Modify the Software or create derivative works from it, other than configuration and customisation intended by its design.
- Remove, obscure or alter any copyright, trade mark or other proprietary notice in the Software.
- Use the Software to build a competing product, or to provide it to third parties as a service.
- Use the Software in a way that breaches any applicable law.
Ownership
The Software is licensed, not sold. Oryan LLC and its licensors retain all right, title and interest in the Software, including all intellectual property rights in it. This Agreement grants you no rights other than the licence expressly set out above.
Where the Software includes third-party or open source components, those components are governed by their own licence terms, which are supplied with the Software and which prevail over this Agreement to the extent of any conflict.
Updates and support
We may make updates, patches and new versions available. Unless stated otherwise at the point of purchase, an update is provided under this same Agreement. We are not obliged to provide updates or support indefinitely, and we may discontinue the Software or any of its features.
Where a support period or service level was stated at the point of purchase, that statement governs.
Data
If the Software transmits any information to us — for example to check for updates or to validate a licence key — that information is handled in accordance with our Privacy Policy. The Software does not collect personal information from your users on our behalf unless its documentation says so explicitly.
Term and termination
This Agreement takes effect when you first download or install the Software and continues until terminated.
It terminates automatically if you breach any of its terms. We may also terminate it on notice if you use the Software unlawfully or in a way that harms us or others. On termination you must stop using the Software and delete all copies of it. The sections on ownership, warranty disclaimers, liability and governing law survive termination.
Disclaimer of warranties
The Software is provided “as is” and “as available” without warranty of any kind. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.
We do not warrant that the Software will meet your requirements, that it will operate without interruption or error, that defects will be corrected, or that it is compatible with any particular configuration of hardware, software or hosting. You are responsible for taking a full backup before installing anything.
Limitation of liability
To the fullest extent permitted by law, Oryan LLC will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity, arising out of or relating to the Software, even if we have been advised of the possibility of such damages.
To the fullest extent permitted by law, our total liability under this Agreement is limited to the amount you actually paid for the Software in the twelve months before the event giving rise to the claim, or, where the Software was supplied at no charge, one hundred US dollars ($100).
Some jurisdictions do not allow certain exclusions or limitations. Where that is so, the above applies only to the extent permitted there.
Export and government use
You agree to comply with all applicable export control and sanctions laws, and you confirm that you are not located in a country subject to a US government embargo, and that you are not on any US government list of restricted parties. If the Software is licensed to a US government entity, it is provided as “commercial computer software” with only the rights granted to all other end users under this Agreement.
Governing law
This Agreement is governed by the laws of the State of Michigan, without regard to its conflict of laws rules, and the state and federal courts located in the State of Michigan have exclusive jurisdiction over any dispute arising out of it.
General
If any provision of this Agreement is unenforceable, the remainder stays in force. Our failure to enforce a provision is not a waiver of it. You may not assign this Agreement; we may assign it as part of a merger, acquisition or sale of assets. This Agreement, together with any order confirmation and the policies referred to in it, is the entire agreement between us about the Software.
